These Terms of Service ("Terms") govern your access to and use of the andropex.com website and the AI voice receptionist services provided by Andropex LLC ("Andropex," "we," "us," or "our"). By using our website or subscribing to our services, you agree to these Terms.

Description of Service

Andropex provides a managed AI voice receptionist service for businesses, including call answering, appointment booking, SMS confirmations, and related features described on our Products page.

Accounts and Eligibility

Our services are intended for businesses, not individual consumers. By signing up, you represent that you are authorized to act on behalf of the business you're registering.

Subscription and Billing

• Subscriptions are billed monthly in advance via our third-party payment processor.
• A one-time setup fee may apply, as disclosed at the time of purchase.
• Calls beyond your plan's monthly limit are billed at the overage rate disclosed on our Pricing page at the time of purchase.
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period unless otherwise stated.
• We offer a 30-day money-back guarantee from the date of your initial subscription purchase. To request a refund under this guarantee, contact us at contact@andropex.com within 30 days of your first payment.

Acceptable Use

You agree not to use our services for any unlawful purpose, to misrepresent your business to callers, or to interfere with the operation of our systems or those of our service providers.

Restrictions on Use

In addition to the Acceptable Use terms above, you agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of any software underlying our services;
• Use our services to transmit any content that is unlawful, threatening, abusive, or infringes the rights of others;
• Introduce viruses, malware, or other harmful code into our systems;
• Use any automated means to access or scrape our website or services without our prior written consent; or
• Resell, sublicense, or provide our services to third parties without our prior written consent.

Third-Party Services

Our service relies on third-party providers for functions including telephony, conversational AI, appointment scheduling, and payment processing, and, where applicable, integrates with your existing CRM. Your use of our service is also subject to the applicable terms of these providers.

Intellectual Property

Andropex retains all right, title, and interest in and to the Andropex website, our software, our AI receptionist technology and configuration, and all associated trademarks, service marks, and trade names. Nothing in these Terms grants you any ownership interest in our intellectual property. Any feedback, suggestions, or ideas you provide to us about our services may be used by us without restriction or compensation to you.

Service Availability

While we work to keep our services available and reliable, we do not guarantee uninterrupted or error-free operation. Call answering and booking accuracy depend in part on third-party infrastructure outside our direct control.

Disclaimer of Warranties

Our services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or that call answering or booking accuracy will meet your expectations at all times. This disclaimer does not affect any warranties that cannot be excluded or limited under applicable law.

Limitation of Liability

To the fullest extent permitted by law, Andropex will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including lost profits, lost revenue, lost business opportunities, or missed appointments, arising out of or related to your use of our services, regardless of the legal theory asserted, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claim arising under these Terms will not exceed the total amount you paid us in the twelve (12) months preceding the claim. This limitation does not apply where liability cannot be limited or excluded under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Andropex and our officers, employees, and agents from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of our services, or content you provide to us for use in configuring your AI receptionist.

Termination

We may suspend or terminate your access to our services if you violate these Terms or fail to pay applicable fees.

Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.

Arbitration

Any dispute arising out of or relating to these Terms or our services will be resolved through binding arbitration on an individual basis, rather than in court, except that either party may bring an individual action in small claims court. This means you and Andropex each waive the right to a jury trial and to participate in a class action.

Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles.
